Constitution


Article 1. Name

This organization shall be called the Mansfield Wind Symphony.

Article 2. Purpose

The Mansfield Wind Symphony shall have two main functions.

The first shall be to provide accomplished musicians possessing a strong performance background an opportunity to play in a musical organization committed to the highest standard of excellence.

The second shall be to make readily available to the community a musical organization that can provide entertainment and cultural enrichment.

The goal of the Mansfield Wind Symphony is to become an active participant in community activities throughout the year. It is intended that the Mansfield Wind Symphony be operated as a charitable non-profit organization and shall be entitled to exemption from Federal Income Tax under Section 501(c)(3) of the Internal Revenue Code of 1954, as now in force or afterwards amended.

Article 3. Membership

Adult musicians with significant performance experience  are welcome to join the band. High school and College students will be invited at the discretion of the Conductor.  Concert dress shall be determined by the Executive Board and adhered to by the entire membership.

Article 4. Meetings

Executive Board meetings of the organization shall be held on or about the first Tuesday or the first Thursday of the month while the band is in session. Special meetings may be called by the President.

Article 5. Executive Board

The Executive Board shall consist of the officers of the organization, the Conductor and chairpersons of standing committees.

Article 6. Officers

The officers of this organization shall consist of a President, Vice-President, Secretary, and Treasurer.

Article 7. Amendments to the Constitution

This constitution may be amended at any Executive Board meeting by a two-thirds vote of members present, the amendment having been read to the organization at large at the preceding meeting.


Bylaws

Article 1. Officers, Conductor and Committee Chairpersons

Section 1. Duties of the elected officers and Conductor.

 

President: Calls and presides over officers’ and business meetings; co-signs checks with the Treasurer or the Vice President.

Vice-President: Performs the duties of the President in the event of absence or resignation; co-signs checks with the Treasurer or President.

Secretary: Keeps minutes of meetings, takes roll at all rehearsals and concerts and handles all correspondence of the organization. Keeps an up-to-date listing of all current Mansfield Wind Symphony members including names, phone numbers, addresses and e-mail addresses and instruments, and committee memberships. 

Treasurer: Takes in and disburses all monies of the organization with approval of the officers.  Co-signs all checks with the President or Vice President; handles the annual tax reports of the organization.  The Treasurer shall present a report at each Executive Board meeting.

Conductor: The Conductor shall be an ex-officio member of all committees. The Conductor shall be appointed by a special committee designated by the President when a vacancy exists. The Conductor shall be accountable  to the Mansfield Wind Symphony Executive Board, and shall have complete responsibility for the musical integrity of the Band.

 

Section 2. Duties of the committee chairpersons.

 

Librarian: Responsible for distribution and collection of all music and for maintaining a current list of music.

Equipment Manager: Responsible for set up and take down of chairs, stands and any special equipment at rehearsals and concerts. Shall maintain a written inventory of Mansfield Wind Symphony equipment.

Publicity: Publicizes events to the local community and is in charge of all printing which includes printing of programs and tickets.

Fundraising: Responsible for planning and executing means of generating the revenue needed to support the annual budget including locating sponsors, applying for grants and arranging for advertising.

Historian: Responsible to collect concert programs and publicity pertaining to the Band, and keep this material in an orderly manner.

 

Article 2. Election of Officers and Committee Chairpersons

Section 1. Vacancies

Vacancies that occur during the term of office shall be filled by the Executive Board.

Article 3. Dues

The Executive Board may establish membership dues annually.

Article 4. Disbursements

Expenditures shall be authorized by a majority vote of the Executive Board members present. In the event that time will not permit, expenditures not to exceed $150.00 will be permitted with the approval of the Band President and one other member of the Executive Board.

Article 5. Purchases of Equipment

All purchases for the organization shall become the property of the Mansfield Wind Symphony.

Article 6. Amendments to Bylaws

These by-laws may be amended at any meeting of the Executive Board by a two-thirds vote of members present, providing that the proposed change has been read to the organization at large at the preceding meeting.
